What Is the Registrar of Companies (ROC) in India?

Registrar of Companies (ROC) is an office appointed under Section 609 of the Companies Act that administers companies and Limited Liability Partnerships (LLPs) in India.

Currently, ROC is operational in all the major States and Union Territories of this nation.

Note: There are certain states like Maharashtra and Tamil Nadu where more than one ROC is functional. Even certain ROCs have jurisdiction of more than one State or Union Territories, such as Chennai ROC is responsible for handling the State of Tamil Nadu and Union Territory of Andaman and Nicobar Islands.

Section 609 of the Companies Act, 1956 assigns ROC with the task of administering companies and LLPs in all the States and Union Territories. Now under the Companies Act, 2013, ROCs gain the same power under Section 309 of the same act.

The Registrar of Companies manages this task with the help of the Regional Director. Currently, there are 7 Regional Directors that administer ROCs in their respective regions.

What Is Company Registration by Registrar of Companies (ROC) in India?

Till now, individuals have learnt that no company can exist without a Certificate of Incorporation. The Registrar of Companies issues this certificate after finalising various statutory requirements and verifying certain documents. The list of essential documents is as follows:

  • AoA (Article of Association)
  • MoA (Memorandum of Association)
  • Pre-incorporation document for selecting managing directors/directors
  • Declaration by an authorised person confirming that the rules of incorporation have been met

On verification, ROC registers the company name and releases the Certificate of Incorporation. In addition, it issues a business commencement certificate. This certificate is important for Public Limited Company because, without it, this business organisation cannot start to operate.

What Is the Role of ROC After the Registration of a Company?

The function of ROC does not end with registering a company and issuing the Certificate of Incorporation. Apart from the ones mentioned above, ROC helps a company in case they need to change the name or objective of the registered office.
